Bylaws of Foundation for Radical Philosophy

1. Name and Formation The name of this corporation is the Foundation for Radical Philosophy, a/k/a the Radical Philosophy Association, a nonprofit corporation organized by the proper filing of its Articles of Incorporation, under the laws of the State of California. 2. Purpose This corporation is organized exclusively for one or more of the purposes as specified in Section 501(c)(3) of the Internal Revenue Code. More specifically, the purposes of the corporation are to foster the educational discussion of diverse currents of radical and critical philosophical thinking in the United States and worldwide, and to support initiatives of scholarly engagement along the lines agreed upon by the board of directors and the members. To practice and prefigure a democratic society, the corporation itself is member-led and member-driven. 3. Membership Determination and Rights and Responsibilities of Members The corporation shall have only one class of members, with such voting power and other rights as granted by these bylaws, the articles of incorporation, and provisions of law. Except as expressly authorized by the articles of incorporation, the bylaws of this corporation, or provisions of law, all members shall have the same rights, privileges, restrictions, and conditions. There is no limit to the number of members the corporation may admit. The democratic potential of the organization cannot be realized without the robust participation of the members. Members are encouraged to attend meetings and conferences, participate in the corporation’s governance and activities, and contribute to the intellectual life of the corporation, among other things. A member of this corporation is not, as such, personally liable for the debts, liabilities, or obligations of the corporation. No member may transfer a membership or any right arising therefrom. |
